Referral & Partner Program Terms

The Rilo Referral & Partner Program (the "Program") is operated by Aico, Inc., doing business as Riloworks ("Rilo", "we", "us"). By sharing a referral link or participating in the Program you agree to these terms, in addition to the Rilo Terms of Service.
1. How Referrals Work
Every Rilo customer has a personal referral link, available from the Billing page of the customer portal. When someone signs up through your link and their team completes its first task, they receive 60 bonus agent-minutes and so do you. Bonus minutes are service credit: they have no cash value, are non-transferable, and expire with your account.
2. Partner Commissions
Approved partners additionally earn a cash commission of US $50 per Qualified Referral. A "Qualified Referral" is a referred organization that (a) is a new Rilo customer (see Section 4), and (b) reaches US $100 in cumulative settled payments to Rilo, net of refunds, chargebacks, credits, and taxes. A commission becomes payable ("earned") 30 days after the qualification threshold is reached, provided the qualifying payments have not been refunded or charged back.
Partner status, and any commission cap for your account, is set out in your partner agreement or approval email. Referrals beyond your cap earn no commission. Rilo may offer individual partners alternative structures (for example, revenue share) by written agreement; absent one, these terms apply.
3. Attribution
- Attribution is first-touch: the first referral code stored for a visitor is credited, and a later link does not displace it.
- A referral must convert to a signup within 90 days of the click. Attribution relies on browser cookies; if cookies are unavailable, blocked, or cleared, attribution may not occur, and no commission is due for unattributed signups.
- Rilo's records are the system of record for attribution, qualification, and payment, absent manifest error. Partners can view their own live ledger (referrals captured, activated, qualified, and earned) at any time via their attribution report.
4. Eligibility and Exclusions
No reward or commission is earned for:
- referrals of yourself, your own organization, or accounts you control or fund;
- existing Rilo customers, trials, or organizations already in active sales discussions with Rilo;
- employees or contractors of Rilo, or a partner referring their own affiliated entities;
- signups produced by prohibited promotion (Section 5) or that Rilo reasonably determines to be fraudulent, incentivized, or artificial.
5. Prohibited Promotion
Participants must not:
- send unsolicited bulk messages (spam) containing a referral link;
- use cookie stuffing, forced clicks, iframes, or similar attribution manipulation;
- bid on Rilo or Riloworks trademarks or confusingly similar terms in paid search, or impersonate Rilo;
- make misleading claims about Rilo, its pricing, or its capabilities;
- publish referral links as coupon or discount codes, or offer unauthorized cash incentives for signups;
- promote in violation of applicable law.
If you promote Rilo in exchange for compensation, you must clearly and conspicuously disclose your material connection to Rilo (for example, "I earn a commission if you sign up"), as required by the U.S. FTC's Endorsement Guides. Rilo may monitor Program activity for compliance.
6. Statements, Invoicing, and Payment
- Commission statements are produced monthly from Rilo's attribution records.
- Partners are paid against a valid invoice referencing the statement. Payment is due net 30 from receipt of a correct invoice and any required tax documentation (for example, IRS Form W-9 or applicable W-8 series).
- Balances under US $100 roll forward to the next statement.
- All amounts are in U.S. dollars; transfer fees imposed by your bank are yours.
- If a qualifying payment is later refunded or charged back, the associated commission is reversed and may be offset against future commissions or, if already paid, repaid or deducted from the next payment.
- Invoice disputes must be raised within 60 days of the statement date.
7. Compliance and Taxes
Partners are independent contractors, not employees or agents of Rilo, and are responsible for their own taxes. Rilo may withhold payment where required by law and may decline to pay any person or entity where payment would violate applicable sanctions or export laws.
8. Changes, Suspension, and Termination
Rilo may modify, suspend, or terminate the Program prospectively at any time. Commissions properly earned before a change remain payable under the terms in effect when earned. Rilo may remove a participant from the Program, and withhold unearned rewards, for breach of these terms or fraudulent activity. On termination of your Rilo account, unredeemed bonus minutes lapse; earned, unpaid commissions remain payable subject to Section 6.
